1. Agreement to these terms
These Terms & Conditions (“Terms”) are an agreement between you and Viraj Patel, the operator of Seed. By downloading, accessing, or using Seed, you agree to these Terms and the Privacy Policy. If you do not agree, do not use Seed.
If you download Seed through Apple’s App Store, Apple’s Standard Licensed Application End User License Agreement may also apply. Where those terms and these Terms address the same subject, the terms required by the App Store apply to the extent necessary.
2. Eligibility
You must be legally capable of entering this agreement in your jurisdiction. Seed is not directed to children under 13. If you use Seed for a company or other organization, you represent that you have authority to accept these Terms for that organization.
3. Limited license
Subject to these Terms, you receive a limited, personal, non-exclusive, non-transferable, and revocable license to use Seed on devices you own or control for lawful personal or internal business purposes.
You may not sell, sublicense, redistribute, rent, reverse engineer, bypass security controls, or create unauthorized derivative services from Seed except where applicable law expressly permits that activity.
4. Your records and responsibilities
- You are responsible for the accuracy and legality of information you enter.
- You must have the right to store any interview notes, contact details, company information, or other records you add.
- You are responsible for protecting your device, Apple ID, iCloud account, and device passcode.
- Do not use Seed to violate law, infringe rights, distribute malware, probe security, scrape services unlawfully, or interfere with other users or systems.
- Do not place passwords, payment-card numbers, government identifiers, or unnecessary sensitive personal information into free-text fields.
5. No professional or financial advice
Seed provides organizational tools, calculations, sourced information, and general educational guidance. Seed is not a bank, broker, investment adviser, lender, accountant, law firm, tax adviser, payroll service, or cap-table system.
Runway calculations, forecasts, matching, deadlines, eligibility indicators, and other outputs depend on the information available and may be incomplete or wrong. You remain responsible for business, financial, legal, tax, fundraising, hiring, and investment decisions.
6. Discovery information and external services
Seed displays information from government websites, publishers, first-party organizations, feeds, and other external services. “Verified,” “reported,” or similar labels describe Seed’s evidence model; they are not guarantees of accuracy, eligibility, safety, quality, availability, or endorsement.
Always confirm deadlines, terms, program requirements, investment details, and other material facts with the original source. External links and services are controlled by third parties and may change, become unavailable, or operate under separate terms and privacy policies.
7. Availability and changes
Seed may change, add, remove, suspend, or discontinue features, data sources, or support at any time. Network access, iCloud availability, device compatibility, source uptime, and regional availability may affect the experience. We do not promise uninterrupted, error-free, or permanently available service.
8. Ownership and feedback
Seed, its original design, software, documentation, and branding are owned by Viraj Patel or the applicable licensors. Public facts and third-party materials remain subject to their respective owners’ rights.
You retain rights in content you create and enter. You grant Seed only the limited rights technically necessary to store, process, display, and synchronize that content for the app features you request. If you send product feedback, you permit us to use it without an obligation to compensate you.
9. Suspension and termination
You may stop using Seed at any time. Your rights under these Terms end if you materially violate them. Seed may restrict access to network-backed functionality when reasonably necessary to protect security, comply with law, or prevent abuse. Provisions that by their nature should survive termination—including ownership, disclaimers, and limits of liability—will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEED IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you. Nothing in these Terms excludes rights that cannot legally be waived.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRAJ PATEL AND SEED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO SEED.
Where liability cannot be excluded, it will be limited to the greater of the amount you paid specifically for Seed during the twelve months before the claim or USD $50, except where applicable law requires a different remedy or limit.
12. General terms
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer these Terms without permission; Seed may transfer them as part of a merger, acquisition, reorganization, or asset transfer. Applicable law governs these Terms without overriding mandatory consumer rights in your jurisdiction.
13. Changes to these terms
These Terms may be updated as Seed changes. The revised page will display a new “Last updated” date. Continued use after updated Terms become effective means you accept them, except where additional consent is required by law.
